Terms of Service

THE SHORT VERSION

Spotreach is research software for businesses. It reads public customer reviews and shows you which companies are complaining about the problem your product solves. Paid plans are sold through Paddle, renew until you cancel, and come with a 14-day refund. You decide how to contact the businesses we surface, and you are responsible for doing that lawfully. Our signals are automated judgements, not verified facts. This summary helps you read the terms; the sections below are the agreement.

1. Who we are

Spotreach is a trading name of legal name of the sole proprietorship, a sole proprietorship registered in Türkiye (tax office and number: tax office / tax number; trade registry number: trade registry no.), with its registered address at registered address. In these terms "Spotreach", "we" and "us" mean that business. You can reach us at info@spotreach.net.

2. The agreement and who may use the service

These terms, together with the Acceptable Use Policy and the Refund Policy, form the agreement between you and us. You accept them when you tick the box at sign-up or when you first use the service, whichever comes first. The Privacy Notice explains how we handle personal data; it is information, not a contract term.

  • Businesses only. Spotreach is sold for use in a trade, business, craft or profession. By accepting you confirm that you act for a business and that you have authority to bind it. "You" means that business. The service is not offered to consumers.
  • You must be at least 18 years old.
  • You may not use the service if you, or the business you act for, are subject to sanctions imposed by the United Nations, the European Union, the United Kingdom, the United States or Türkiye, or are located in a country or territory subject to comprehensive sanctions.

3. What the service is

You describe what you sell. The software builds a signal profile from that description, searches public sources for the kind of businesses you sell to, reads their public customer reviews, and flags the businesses whose reviews match complaints your product addresses. Each result ("lead") shows the business, the category that matched, a score, the publicly listed contact channels where available, and a pointer to the evidence at its source. Suggested selling points and message drafts are generated from that result for you to edit.

Spotreach is a research instrument. It does not contact anyone on your behalf, it does not send messages, and it does not promise a sale, a reply or a number of leads.

4. Your account

You receive an account key. Treat it as a password: anyone holding it can open your account and read your leads. Do not share it outside your business. Tell us at once if it leaks and we will issue a new one. Activity carried out with your key is treated as yours until you have told us it was compromised.

Keep your contact e-mail current. Notices about your account, billing and changes to these terms are sent there and shown in the panel.

5. The free trial

New accounts get a free trial of 7 days or 5 evidence-backed leads, whichever runs out first. No payment method is requested and the trial never turns into a paid plan on its own; when it ends, the account stops opening new leads until you choose a plan. Leads you opened during the trial stay in your panel.

Before the first scan runs we review the signal profile built from your description. That review exists so a trial is not spent on a profile that was never going to match anything. We may decline to run a trial whose description falls outside the Acceptable Use Policy.

6. Plans, payment and renewal

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle takes the payment, issues the invoice or receipt, calculates and collects any sales tax or VAT that applies, and handles payment-related questions and refunds. When you buy, you also accept Paddle's buyer terms, which Paddle shows at checkout.

  • Solo: 10 leads a month, US$49 per month or US$470 per year.
  • Starter: 25 leads a month, US$109 per month or US$1,050 per year.
  • Growth: 100 leads a month, US$379 per month or US$3,640 per year.
  • Scale: 300 leads a month, US$999 per month or US$9,590 per year.

Prices are in US dollars and exclude taxes, which are added at checkout where they apply. The price you pay is the one shown at checkout.

Subscriptions renew automatically at the end of each billing period (monthly or yearly, as you chose) and the payment method you gave Paddle is charged for the next period, until you cancel. You can cancel at any time from the link in your Paddle receipt, from the panel, or by writing to us. Cancellation takes effect at the end of the period you have already paid for; you keep access until then and are not charged again.

If a renewal payment fails, Paddle retries it. Opening new leads pauses after a seven-day grace window and resumes when payment succeeds.

We may change plan prices. A new price applies to your subscription only from your next renewal after we have given you at least 30 days' notice. If you do not agree, cancel before that renewal.

7. Quota

  • Only A and B grade leads are delivered and counted against your quota. C grade results are never sold.
  • The same lead is never counted twice for the same account, however many times it resurfaces in later scans.
  • Quota is monthly and does not roll over, on an annual plan too: an annual plan is twelve monthly allowances paid in advance, not a larger single allowance.

8. Refunds

Refunds are covered by the Refund Policy, which forms part of these terms. In short: a full refund on request within 14 days of your first payment for a plan and within 14 days of an annual renewal. Nothing in these terms limits a right to cancel or to a refund that applicable law gives you and that cannot be waived.

9. Acceptable use

You must follow the Acceptable Use Policy. It forms part of these terms. It sets out, among other things, that you may not resell or share leads, may not use the service to identify or contact the people who wrote reviews, may not publish or use a result to make claims about a business, and may not use results for decisions about individuals such as employment, credit, insurance or housing.

10. Your outreach is your responsibility

Spotreach delivers research, not consent. Whether and how you contact a business we surface is your decision, and you are responsible for making that contact lawful in your own country and in the recipient's. Depending on the market that can include the GDPR and national e-privacy rules in the EEA, the UK GDPR and PECR, the CAN-SPAM Act, the TCPA and state law in the United States, CASL in Canada, and Law No. 6563 and the Commercial Electronic Message Management System (İYS) in Türkiye. In particular you are responsible for having a lawful basis for each message, identifying yourself, honouring opt-outs, and checking any do-not-call or suppression list that applies.

Once a lead is delivered you decide on your own what to do with it and you are an independent controller of your copy for data protection purposes.

11. What a signal is, and what it is not

A signal is an automated judgement that the wording of one or more public reviews resembles a complaint pattern. It is produced by software, it can be wrong, and it is not a statement of fact about the business.

  • Reviews are written by third parties. We do not verify them, we do not adopt what they say, and the businesses concerned may dispute them.
  • Reviews, ratings and listings belong to their authors and to the platforms that publish them. Their terms apply to them. We point you to the evidence at its source so you can read it yourself; read it before you rely on it.
  • A lead does not mean a business is failing, acting unlawfully or dealing unfairly with its customers, and you must not present it that way to anyone, including the business itself.
  • We make no representation about a detection rate, a response rate, lead volume, or the currency or completeness of any source.
  • Nothing in the service is legal, financial or professional advice.

12. Third-party sources

Scanning depends on third-party sources such as Google Maps Platform and the Apple App Store. Their availability, content, prices and terms are outside our control. We may change which sources we use, pause a vertical, or change how results are presented so that the service stays within those terms.

Leads you have unlocked stay in your panel after your subscription ends. The exception is where the law, a court or regulator, a valid objection from the business concerned, or a source's terms require us to remove or stop showing a record. If we have to remove a lead you were charged quota for during your current or last paid period, we credit that quota back.

13. Intellectual property

We own the service, the software, the signal profiles and scoring methods, and the look of the panel and the site. You receive a non-exclusive, non-transferable right to use the service for your internal business purposes while your account is active, and a continuing right to use leads you have unlocked for your own sales and research, subject to the Acceptable Use Policy.

You own the product descriptions, catalogues and other material you enter ("your content"). You give us a licence to host, copy and process your content to provide and improve the service, including sending it to the sub-processors named in the Privacy Notice. You confirm you have the right to give us that content. If you send us feedback or suggestions, we may use them without obligation.

14. Service availability and changes

We work to keep the service running but do not offer a contractual uptime figure. We may carry out maintenance, and we may change or discontinue features. If we discontinue the service as a whole, we give at least 30 days' notice and refund the unused part of any prepaid period.

15. Suspension and termination

You may stop using the service at any time by cancelling your subscription as set out in section 6.

We may suspend or close your account, with notice and the reason where the law allows us to give one, if you materially breach these terms or the Acceptable Use Policy, if a payment is reversed or charged back, if we reasonably believe your use exposes us, a source or a third party to legal liability, or if the law requires it. Where we close an account for a breach, no refund is due for the remainder of the period. Where we close it for any other reason, we refund the unused part of any prepaid period.

Sections 10, 11, 13, 16, 17, 18 and 20 continue to apply after the agreement ends.

16. Warranties

The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties not expressly stated in these terms, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

17. Limitation of liability

  • Neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data, however it arises.
  • Our total liability for all claims arising out of or in connection with the service or these terms is limited to the amounts you paid for the service in the twelve months before the event giving rise to the first claim.
  • Nothing in these terms limits liability for intent or gross negligence, for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited or excluded under applicable law, including Article 115 of the Turkish Code of Obligations.

18. Your indemnity

You will defend and indemnify us against third-party claims, regulatory fines and reasonable legal costs arising from (a) your outreach or other contact with businesses or people surfaced by the service, (b) your use of the service or of leads in breach of these terms, the Acceptable Use Policy or the law, or (c) your content. We will tell you promptly about any such claim and let you control its defence, and we will not settle it in a way that imposes an obligation on you without your consent.

19. Events beyond our control

We are not responsible for delay or failure caused by events beyond our reasonable control, including the withdrawal, restriction or outage of a third-party source, failure of hosting or network providers, power failure, natural disaster, war, government action or labour disputes.

20. Governing law and disputes

These terms and any dispute or claim arising from them are governed by the laws of the Republic of Türkiye, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. The courts and enforcement offices of Istanbul (Çağlayan) have exclusive jurisdiction.

Before going to court, write to us and give us 30 days to resolve the matter. To the extent the law allows, each party brings claims only in its individual capacity and not as a plaintiff or class member in a class, collective or representative action.

21. Changes to these terms

We may update these terms. If a change is material we tell you by e-mail and in the panel at least 30 days before it applies to your account. Changes needed to comply with the law, or with a source's terms, can apply sooner. If you do not agree with a change, cancel before it applies; continuing to use the service after that date means you accept the updated terms. The date at the top of this page shows the current version, and we keep a record of which version you accepted.

22. General

  • Entire agreement. These terms, the Acceptable Use Policy and the Refund Policy are the whole agreement about the service and replace earlier discussions. Terms in your own purchase order do not apply.
  • Assignment. You may not transfer the agreement without our written consent. We may transfer it to a successor to our business, including a company we form to run Spotreach, and will tell you if we do.
  • Severability. If a provision is found unenforceable, the rest stays in effect and the provision is applied to the extent it can be.
  • No waiver. Not enforcing a right straight away does not waive it.
  • Notices. We send notices to the e-mail on your account; you send them to info@spotreach.net.
  • Language. These terms are written in English. A translation is for convenience only; the English version prevails.
